Tightyard is a product of Augment AI Labs Corporation. These terms are the agreement between Augment AI Labs Corporation ("we" or "us") and the business that uses Tightyard ("you" or "your company"). Tightyard is a business tool for companies in the United States.

Accepting these terms

  • Your company accepts these terms when its first admin accepts them on signing in to the Tightyard dashboard, or when it signs an order with us.
  • The person who accepts must have the authority to bind your company.
  • If your company has a signed agreement with us, that agreement wins where it differs from these terms.
  • Your staff and foremen use Tightyard through your company. Foremen who get texts are also covered by our SMS Terms. Our Privacy Policy explains how we handle information.

What Tightyard does

Tightyard keeps a record of your tools: who has each one, since when, and who had it before. It includes the yard app, the dashboard, the pages foremen open from their texts, and the texts and emails Tightyard sends.

Your account and your people

  • Your admins add your people, and yard staff can also add foremen. Your admins remove people who leave.
  • Keep their names, emails and phone numbers correct.
  • Each person signs in as themselves. Do not share sign-ins.
  • You are responsible for what your people do in Tightyard.
  • Tell us right away if you think someone got into your account without permission.

Your data

  • Your data is everything your company and your people put into Tightyard, and the records Tightyard makes from it. It belongs to you.
  • Your data does not include the records we keep for ourselves, described in our Privacy Policy, such as each person's agreement to get texts, any request to stop them, and our sign-in and security logs.
  • You allow us to use your data only to run, secure and support Tightyard for you, and to meet the law. We do not sell it, use it for advertising or use it to train AI models.
  • Your admins can export your data at any time while your account is open, and for 30 days after it ends.
  • Do not put Social Security numbers, government ID numbers, bank or card numbers or other payment data, or health information into Tightyard. It is not built to hold them.
  • You must have the right to give us your data, and you must give your people any notice the law requires.

Texts to your foremen

  • Add only the mobile numbers of people who work with you and have agreed to be added.
  • Tightyard asks each foreman to reply YES before it sends that foreman anything else. Never reply for a foreman, and never pressure one to reply.
  • Use Tightyard's texts and the replies to them only for Tightyard. Do not use them for your own texting.
  • If a foreman asks you to stop the texts, turn that foreman's texts off in Tightyard or tell us right away.
  • Do not ask a foreman who stopped the texts to sign up again. Only the foreman can restart them, by replying START.
  • Texts are optional. Do not make work or tools depend on them.
  • Follow the laws on calls and texts, including the Telephone Consumer Protection Act, and the phone carriers' rules.

How we handle your company's data

We handle the personal information in your data for you, as your service provider. We promise to:

  1. Use it only to provide Tightyard to you: keeping custody records, sending texts and emails, signing people in, support, security and meeting the law.
  2. Never sell it, and never share it for cross-context behavioral advertising.
  3. Never use it for any other purpose or outside our work for you, and never combine it with other information, except as the California Consumer Privacy Act allows.
  4. Follow the privacy laws that apply to it, including the California Consumer Privacy Act, and give it the same level of protection those laws require of you.
  5. Let you take reasonable steps to check that we keep these promises, such as answering your written questions about how we handle your data.
  6. Tell you if we can no longer keep these promises.
  7. Let you stop and fix any use of your data that breaks these promises.
  8. Help you answer requests from people about their information. When a person asks us to delete their information, we tell you, and within 30 days we erase their name, email, phone number and sign-in as our Privacy Policy describes. Their custody history stays in your data under a label without their name.
  9. Hold the providers that handle your data for us to these same promises. Today that is Amazon Web Services, in the United States.
  10. Tell you as soon as we can if someone gets into your data without permission, and help you respond.

Using Tightyard the right way

You must not use Tightyard to:

  • Break the law or anyone's rights.
  • Send spam, ads or marketing.
  • Get around its security or reach another company's records.
  • Copy, take apart, resell or rent it, or build a competing product from it.
  • Overload it or get in the way of others using it.

Records and your decisions

  • Tightyard's records are only as good as the scans your people make.
  • You decide what to do with them. Before you act on a record, for example by asking a worker to pay for a missing tool, follow the laws that apply, including wage laws.
  • Tightyard helps you keep track of tools. It is not insurance. We do not promise that tools will never go missing or that missing tools will be found.

Fees

If your company pays for Tightyard, the price and payment terms are in your order or signed agreement with us. We do not take or keep payment data.

Services we rely on

  • Tightyard runs on Amazon Web Services. Texts travel through phone carriers. The yard app comes from Apple (the App Store or TestFlight), Google Play or a direct install.
  • Carriers are not liable for delayed or undelivered messages. Texts and emails can arrive late or not at all, so do not rely on Tightyard in an emergency.

Our property and your ideas

  • We own Tightyard: its software, its design and its name. These terms let your people use it while your account is open. They do not give you ownership.
  • If you send us ideas for Tightyard, we may use them freely and owe you nothing for them.

Keeping things confidential

Each of us will protect the other's non-public business information, use it only for this agreement, and share it only with people who need it and must keep it confidential. This does not cover information that is already public, or that the law requires one of us to give.

Suspending or ending the service

  • Unless your order says otherwise, either of us can end this agreement with 30 days' written notice.
  • We may suspend texts or accounts right away if they break these terms, cause carrier complaints, or put Tightyard or other people at risk. We tell you when we can, and we restore service once the problem is fixed.
  • When the agreement ends, your admins can export your data for 30 days. Within 90 days of the end, we delete it from our systems and backups. The records we keep for ourselves follow the times in our Privacy Policy.
  • Promises that should last by their nature continue after the agreement ends. These include fees owed, confidentiality, the limits on liability and the indemnities.

Warranties

We provide Tightyard with reasonable care and skill. Apart from that, we provide it "as is". As far as the law allows, we make no other promises, including that Tightyard will be uninterrupted or free of errors, or that it is merchantable or fit for a particular purpose.

Limits on liability

  • Neither of us is liable for indirect, special or consequential losses, or for lost profits or revenue, even if warned they might happen.
  • Each of us is liable for no more than the greater of the fees you paid us in the 12 months before the claim, or US$1,000.
  • For a breach of our promises in "How we handle your company's data", that limit is three times higher.
  • These limits do not apply to fraud, gross negligence or willful misconduct, to your promises in "Texts to your foremen" and the indemnity that covers them, or to fees you owe.

Indemnities

  • We will defend you against a claim that Tightyard, as we provide it, infringes someone's intellectual property, and pay any damages a court awards or any settlement we agree to. If that happens, we may change Tightyard, get you the right to keep using it, or end the agreement and refund fees you paid ahead for time you did not use.
  • You will defend us against claims about the data you put into Tightyard, the people you add, texts to numbers you added without the person's agreement, requests to stop texts that you did not pass on to us, or misuse by your people, and pay any damages a court awards or any settlement you agree to.
  • The one asking for defense must say so promptly and give the other control of the defense and reasonable help.

Changes to these terms

  • We may change these terms. We email your admins at least 30 days before a material change takes effect, and we post the new version here with that date.
  • If the law or the phone carriers require a change sooner, it takes effect when they require it. We email your admins as soon as we can.
  • A change never applies to anything that happened before it takes effect.
  • If you do not agree with a change, you can end the agreement before it takes effect. If a change took effect sooner because the law or the phone carriers required it, you can end the agreement once we email your admins about it.

Law and courts

Arizona law governs these terms. Any dispute goes to the state or federal courts in Maricopa County, Arizona, and each of us agrees to those courts.

Everything else

  • These terms and any order or signed agreement are the whole agreement between us about Tightyard.
  • Neither of us may transfer this agreement without the other's written consent, except to a business that takes over all of the work it covers.
  • Neither of us is responsible for delays caused by events outside our reasonable control, such as power or internet outages, disasters or government action.
  • If a court finds part of these terms unenforceable, the rest still applies.
  • Not enforcing a right does not give it up.
  • We are independent businesses. These terms give no rights to anyone else.
  • We send notices to your admins' email. Send notices to us at contact@augmentailabs.com.
